NCC represented the owners of the sale of the company. Due to confidentiality agreements, the buyer and seller were not disclosed. NCC did state however it was an all cash transaction.</p>
<p>The seller is a world recognized shared Ruby on Rails shared hosting firm and operates exclusively on a Linux platform. The Ruby centric firm served over 3,000 web sites.</p>
<p>The Ruby platform was used in the development of Twitter and has an avid international following. The company sold is well recognized&nbsp; in this hosting sector.</p>

Due to confidentiality agreements the name of the winning bidder was not disclosed.</p>
<p>In late November NCC was selected from a field of six international merger and acquisition firms to conduct the sale as mandated by the shareholders. Two weeks after selection NCC prepared a comprehensive memorandum and bid package for this UK Hosting Company with annual revenues of &pound; 1,900,000 or ($3.1 million USD).</p>
<p>The minimum acceptable bid according to the shareholder agreements was based on an independent report prepared by a leading UK accounting firm and was to be an all cash transaction with a minimum bid of &pound;1,600,000 (Approximately 2,520,000 USD / 1,830,000 EU).</p>
<p>NCC reported that almost three dozen firms from five countries showed interest in the transaction and that numerous bids were received.</p>

The minimum bid is officially &pound; 1,600,000 (Approximately 2,520,000 USD / 1,830,000 EUR). The company will be sold to the highest bidder on January 21, 2010.</p>
<p>Tom Millitzer, President of NCC stated that this is in the low end of his anticipated valuation range. The valuation represents .87X recurring revenues. According to Millitzer ball park valuations on a multiple of revenue generally range from .8 to 1.3 X revenues for firms of this type and often higher.</p>
<p>A third party respected London accounting firm performed the valuation. Millitzer noted that using standard valuation principals the report had valuations from as low as &pound; 1,200,000 to as high as &pound; 4,000,000 ( range $1.93m to $6.4m USD) for the firm. He continues that given the range and recent bid extension date that he would anticipate greater interest in the acquisition.</p>
<p>There is no stalking horse and the bid has been extended to Thursday January 21, 2010 at 12 noon (-5 GMT) local east coast US time. Bids are due in the NCC offices at that date as outlined in the Bid Package for this transaction.</p>

The bid date for the sale is scheduled for December 31, 2009.</p>
<p>According to Tom Millitzer this is a winner take all sealed auction. Mr. Millitzer stated that "NCC has been engaged to conduct a 'No Stalking Horse' bid process." A "stalking horese" auction is where the highest bidding price is public ally announced to the bidders and they can then re-bid a higher amount, this can continue until the highest price is achieved.</p>
<p>The bid process in this sale will revolve around a minimum bid which is based on a third party valuation which will set the minimum bid. All bidders know the minimum bid. The bid with the highest price over the minimum bid will succeed.</p>
<p>NCC is in the process of preparing the memorandum and bid package which will outline the details of the company and the bid process. The firm anticipates it will take approximately two weeks to prepare the package which will leave only two weeks for prospective firms to review the information to determine there interest.</p>
<p>Mr. Millitzer indicated that the valuation placing the minimum bid will really determine the number of bids and interest. He also noted that this could be a very attractive acquisition to some firms.</p>

HostingCon is an international web hosting industry event with participants from over 20 countries.</p>
<p>Tom Millitzer's presentation "Dissecting A Web Host Acquisition" focused on the rational and motivations for both the buyer and seller. According to Millitzer, "I wanted to go behind the numbers and into the psyche of the transaction". Part of the presentation was outlining the hidden meaning within those numbers, or "What the numbers are saying, but no one is seeing. For example in one of his examples it was completely overlooked that the owner was taking another $260,000 a year out of the company."</p>
<p>NCC prides itself in providing excellent information regarding the firms it represents. This saves potential buyers enormous amounts of time and according to NCC results in higher sales prices for its clients.</p>

Due to confidentiality reasons the name of the buyer and the seller were not disclosed.</p>
<p>Tom Millitzer, President of NCC noted that the company had been put on the market in December of 2008 and an LOI was inked in late February of 2009. According to NCC the web hosting company had annual revenues of $2.3 million and served approximately 9,000 accounts. The average rate for the accounts was $27 per month.</p>
<p>In representing the firm NCC prepared a detailed memorandum providing much of the du-diligence required by most buyers. Mr. Millitzer noted that his firms presentations moves the sale process and provides buyers with the information they need to move the transaction thought he prospects management team review.</p>
<p>NCC was founded in 1994 and represents the owners of Internet firms in the sale of their companies. The firm specializes in Web Hosting, Data Centers, Broadband and WISP providers in the United States, Canada, Australia and the UK.</p>
